Terms of Service

These Terms of Service (these "Terms") are a contract between you and ArthEQ, LLC ("ArthEQ," "we," "us," or "our") governing your access to and use of our website located at https://www.artheq.ai and our related software, applications, and services (collectively, the "Services").

Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not use the Services.

1. Definitions; precedence of agreements

1.1 Definitions

Unless otherwise defined in these Terms:

Capitalized terms used in these Terms and defined in the Privacy Policy have the meanings given there unless otherwise stated.

1.2 Which terms apply

If there is a conflict between these Terms and a written Agreement signed or otherwise accepted by the Customer and ArthEQ, the Agreement controls to the extent of the conflict except that the Privacy Policy (as updated from time to time) will govern the collection, use, and disclosure of personal information as described in that policy, unless the Agreement expressly supersedes specific provisions of the Privacy Policy with respect to processing performed on behalf of the Customer.

If you use the Services without a separate written Agreement (for example, as a website visitor, evaluator, or trial user), these Terms and the Privacy Policy govern.

2. Eligibility

The Services are intended for business (B2B) use. You must be at least 18 years old and capable of forming a binding contract to use the Services. If you do not meet these requirements, do not use the Services.

3. Accounts and Authorized Users

3.1 Registration

Certain features require an account ("Account"). You agree to provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account.

3.2 Customer administration

If you use the Services under a Customer account or workspace, you acknowledge that the Customer may:

If you invite or enable colleagues to use the Services, you are responsible for their compliance with these Terms to the extent applicable.

4. Description of the Services

ArthEQ provides software for organizations to capture, collect, process, analyze, and work with organizational information, including meeting-related content (such as audio, video, transcripts, chats, and screen sharing, depending on what the Customer enables), employee survey and feedback inputs, and related workflows (such as summaries, notes, coaching-style outputs, recommendations, or analytics made available in the product).

4.1 Integrations

The Services may integrate with third-party conferencing and calendar providers so you can connect meetings and schedules. Zoom is supported today. Support for Microsoft Teams and Google Meet is planned and may be released over time.

Your use of third-party products remains subject to those third parties' terms and privacy policies.

4.2 Subprocessors and service providers

To operate the Services, we use service providers and subprocessors as described in our Privacy Policy (including the Subprocessors section). Those providers assist with functions such as cloud infrastructure, meeting-media processing, transcription, and (where enabled) AI-assisted features.

5. Customer responsibilities

Customers and Authorized Users represent and warrant that they have all rights and permissions needed to use the Services with any meetings, recordings, surveys, feedback submissions, or other content they connect, and that they will comply with applicable laws relating to recording, monitoring, privacy, employment, and similar obligations, including any requirements for notice and consent from meeting participants or other individuals where required.

You understand that meeting content may include sensitive information about participants. The Customer is responsible for how it configures sharing, access, and retention within its organization, subject to the Privacy Policy and any Agreement.

6. User Content and Customer content

6.1 Your content

"User Content" means information, materials, or content that you (or users on your behalf) submit, upload, import, or generate using the Services, including meeting content, survey responses, feedback inputs, and related organizational data processed through the features and integrations you enable.

As between you and ArthEQ, you retain ownership of your User Content.

6.2 License to ArthEQ

You grant ArthEQ a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and otherwise use User Content only as reasonably necessary to provide, secure, maintain, and support the Services for you (and, where applicable, your Customer), including formatting, transcribing, indexing, generating outputs shown in the product, and creating backups in the ordinary course.

Consistent with our Privacy Policy, we do not use User Content to train machine learning or other artificial intelligence models for general-purpose model improvement. Nothing in these Terms limits disclosures to service providers/subprocessors as described in the Privacy Policy.

This license ends when your User Content is deleted from our systems, except that (a) copies may persist for a limited time in backups and (b) we may retain information where required by law.

7. Acceptable use

You agree not to:

We may suspend or terminate access if we reasonably believe you have violated these Terms or create risk or harm.

8. Fees; trials; taxes

Fees, billing cycles, renewals, and refunds (if any) are as stated in the applicable Order Form, online plan, or checkout terms you accept. If no separate fees are stated, the Services may be offered at no charge until ArthEQ communicates otherwise.

Unless stated otherwise in an Order Form or required by law, fees are non-refundable. You are responsible for applicable taxes (other than taxes based on ArthEQ's net income). We may change pricing prospectively with reasonable notice where required by law.

9. Confidentiality

Each party may receive non-public information of the other ("Confidential Information"). The receiving party will use reasonable care to protect Confidential Information and use it only for purposes of these Terms (or the applicable Agreement). Confidential Information does not include information that is public, independently developed, or rightfully received without confidentiality obligations.

10. Feedback

If you give us feedback or suggestions about the Services ("Feedback"), you grant ArthEQ a perpetual, irrevocable, royalty-free license to use Feedback for any purpose without obligation to you.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ARTHEQ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, ARTHEQ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT TRANSCRIPTS, SUMMARIES, OR OTHER OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE.

AI-assisted outputs are not professional advice (including legal, medical, tax, or HR advice). You are responsible for human review and for how you use outputs.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ARTHEQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

TO THE FULLEST EXTENT PERMITTED BY LAW, ARTHEQ'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU (OR YOUR CUSTOMER) PAID TO ARTHEQ FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (US$50) IF NO FEES APPLIED—UNLESS A WRITTEN AGREEMENT WITH THE CUSTOMER SETS A DIFFERENT LIABILITY CAP OR EXCLUSION, IN WHICH CASE THAT AGREEMENT CONTROLS FOR THE CUSTOMER RELATIONSHIP.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnity

You will indemnify and hold harmless ArthEQ and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your User Content, (b) your use of the Services in violation of these Terms or law, or (c) your violation of third-party rights (including privacy and intellectual property rights).

14. Termination

If a Customer has an Agreement, suspension and termination are governed by that Agreement (including any cure periods). Otherwise, either party may terminate access if the other party materially breaches these Terms and fails to cure within thirty (30) days of written notice (if cure is reasonably possible).

We may also suspend or terminate access immediately if we reasonably believe suspension is necessary to protect security, comply with law, or prevent harm.

Upon termination, your right to use the Services ceases. Provisions that by their nature should survive will survive (including Sections 9–13, 19, and 20).

15. Changes to the Services or Terms

We may modify the Services and these Terms from time to time. If we materially modify these Terms, we will provide notice as required by applicable law (which may include posting an updated version). Your continued use after the effective date of changes constitutes acceptance of the modified Terms, except where applicable law requires your explicit consent.

16. Privacy

Our Privacy Policy describes how we collect, use, and disclose personal information, including our Subprocessors, default retention practices for meeting-related content, and U.S. processing details for our production Services.

Enterprise Customers may request a data processing addendum (DPA) by contacting support@ArthEQ.ai. If a signed DPA applies, it forms part of your Agreement with ArthEQ as described in Section 1.

17. Export compliance

You must comply with applicable export control and sanctions laws. You represent that you are not prohibited from using the Services under applicable laws.

18. Government users

If you are a U.S. government entity, you agree the Services are "commercial computer software" and "commercial computer software documentation" as defined under applicable U.S. regulations, and your rights are limited to those granted under these Terms (or your applicable Agreement).

19. Disputes

19.1 If you have an Agreement

If you are a Customer (or a party) to a written Agreement with ArthEQ that contains dispute resolution terms, those terms govern disputes related to the Services to the extent provided in that Agreement.

19.2 If you do not have an Agreement

If you do not have a written Agreement with ArthEQ that specifically addresses dispute resolution, then:

ArthEQ may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

20. General

These Terms, together with the Privacy Policy, constitute the baseline agreement between you and ArthEQ regarding the Services for users not subject to a separate Agreement. If a Customer has signed or accepted an Order Form, MSA, or other written terms with ArthEQ, those documents govern the commercial relationship as described in Section 1.

If ArthEQ fails to enforce a provision, that is not a waiver. If any provision is invalid, the remainder remains in effect.

You may not assign these Terms without ArthEQ's consent. ArthEQ may assign these Terms in connection with a merger, acquisition, or sale of assets.
